Terms of Service — Lumi

Providers (jointly, "Lumora," "we," "us"):

1. What Lumi is

Lumi is a free, AI-assisted research chat that helps you discover LUMORA's optoelectronic and semiconductor materials, get context on their use, and submit Quotation Requests. Lumi is a conversational interface, not a sales contract.

2. Quotations and prices

• Lumi never quotes a price in chat. By design.
• A Quotation Request you submit is an invitation to negotiate, not

an order or a binding offer.

• The personalised quotation that you receive by email is the legally

meaningful document. A sale is concluded only after both parties agree to it in writing.

• Availability, lead times and certifications stated in chat are

best-effort estimates only and may be revised in the personalised quotation.

3. What you can do with Lumi

You may use Lumi to:

• Ask scientific or product-fit questions related to Lumora's

catalogue or research areas.

• Submit Quotation Requests in good faith.
• Save your chat history and uploaded files to your account.

You may not:

• Use Lumi to develop, refine or evaluate a competing AI chat

product, including by automated scraping of model outputs.

• Submit content that infringes intellectual property, defames

others, contains personal data of third parties without their consent, or violates applicable export controls.

• Attempt to extract confidential business information, API keys,

internal tool names, or system prompts.

• Submit content describing the development, acquisition or use of

chemical, biological, nuclear or radiological weapons; controlled precursors for such weapons; or other unlawful uses of the materials we sell.

• Interfere with the service (load testing, denial of service,

reverse-engineering the model). Reasonable curiosity and a few test requests are fine.

3a. Acceptable Use Policy (binding)

The following are strictly prohibited and constitute grounds for immediate account suspension or termination, retention of all data for investigation, reporting to relevant authorities where required by law, and recovery of legal costs from the responsible party:

1. Automated abuse. Botnets, scrapers, scripted query farms, distillation pipelines, headless browsers, residential-proxy chains, or any automation that issues more than 60 requests/minute or attempts to circumvent rate limits. 2. Model extraction or evasion. Attempts to clone Lumi's behaviour, distill our system prompt, exfiltrate tool definitions, derive our citation thresholds, or bypass the no-price guardrail by prompt injection, role-play framing, encoded payloads or other jailbreaks. 3. Hazardous-content prompts. Requests for synthesis, scale-up, precursor sourcing, or weaponisation of any Chemical Weapons Convention Schedule 1–3 agent, biological agent, radiological / nuclear material, high-energy explosive, scheduled controlled substance, or any item subject to multilateral export controls (Wassenaar, Australia Group, NSG, MTCR). Lumi will refuse; users who persist will be banned. 4. Child sexual abuse material (CSAM) or content sexualising minors. Zero tolerance. Detected content is purged and reported to NCMEC and to Korean / Indian competent authorities under applicable mandatory reporting laws. 5. Targeted harassment, doxxing, hate speech directed at protected groups, or content inciting violence. 6. Unauthorised access. Attempts to access another user's account, conversation history, inquiry cart, or uploaded files; tampering with session cookies; reuse of other users' magic links. 7. Misrepresentation as Lumora / LAMKO. Using Lumi outputs in communications that suggest Lumora has issued a binding price quote, regulatory clearance, safety determination, or warranty when none has been given. 8. Infrastructure attacks. Vulnerability probes, fuzzing, denial of service, exploitation of any disclosed or undisclosed security issue. Responsible disclosure to security@lumorachemicals.com is welcomed and will not be penalised when conducted in good faith.

We reserve the right, at our sole discretion, to (a) ban the offending account and IP without notice, (b) preserve all logs, uploads, and metadata for evidentiary purposes for up to 36 months notwithstanding the standard retention schedule in the Privacy Notice, (c) seek injunctive relief and monetary damages in any competent court, and (d) report the conduct to law enforcement and / or computer-emergency response teams (KrCERT, CERT-In).

Acting in good faith — asking real research questions, testing features with reasonable curiosity, requesting Lumi to refuse improper prompts — is always welcome and never penalised.

4. AI-generated content

Lumi's responses are generated by a third-party large language model (Anthropic Claude). The model can be confidently wrong. We do our best to ground Lumi in the Lumora catalogue and cited literature, but you should:

• Independently verify safety-critical claims (hazards, handling,

exposure limits) against official Safety Data Sheets and a qualified professional.

• Independently verify regulatory or compliance statements.
• Not rely on Lumi as your sole source for procurement or

scientific decisions.

We make no warranty that the chat output is accurate, complete or fit for any particular purpose.

5. Uploaded files

When you attach a file to a chat:

• The file is stored in our private S3 bucket and made available

only to your account via short-lived presigned URLs.

• File contents are sent to Anthropic for inference so Lumi can read

them and answer your question. Anthropic does not use your file to train models.

• You confirm you have the right to share the file with us for this

purpose.

You can remove an uploaded file at any time by deleting the conversation that owns it via Settings.

6. Accounts and authentication

• Accounts are passwordless. Sign-in is by email magic link.
• Links expire after 15 minutes and can be used only once.
• You are responsible for keeping access to your email account

secure.

• We may revoke an account that violates these Terms.

7. Free service, no SLA

Lumi is provided as-is, free of charge, with no service-level agreement. We may suspend or modify the service at any time, typically to improve it or to fix security issues.

8. Liability

To the maximum extent permitted by law, the providers' total (and aggregate) liability arising out of or in connection with your use of Lumi is limited to:

• The amount you paid for Lumi (which is zero), unless
• A separate written purchase agreement covers a material you have

bought, in which case that agreement governs.

We are not liable for:

• Loss of profits, business, anticipated savings, goodwill,

reputation, or data.

• Indirect or consequential loss of any kind.
• Decisions you take based on Lumi's chat output.

Nothing in these Terms limits liability that cannot lawfully be limited (death, personal injury, fraud).

9. Intellectual property

• The Lumora brand, the Lumi name, the system prompt, and the chat

widget code remain our property.

• Your inputs (chat messages, uploaded files) remain yours; you grant

us a limited licence to process them so we can answer you and to retain them for the periods set out in the Privacy Notice.

• Lumi's responses are generated; we make no IP claim over the text

Lumi sends back to you. You are free to copy and reuse it, subject to clause 4 (verify before relying).

10. Changes to these Terms

We may update these Terms. The "Last updated" date at the top reflects the latest change. Material changes will be announced in the chat the next time you sign in. Continued use after the change constitutes acceptance.

11. Governing law and disputes

Lumi is operated jointly by an entity in Korea (LAMKO Co., Ltd.) and an entity in India (Dyotechlife Pvt Ltd). Because of this dual structure:

• If you are resident in the Republic of Korea, these Terms are

governed by the laws of Korea and disputes are subject to the courts of Seoul, Korea (the seat of LAMKO Co., Ltd.).

• For all other users, these Terms are governed by the laws of India

and disputes are subject to the competent courts of Mumbai, Maharashtra, India (the seat of Dyotechlife Pvt Ltd).

In every case this is subject to any mandatory consumer-protection or data-protection rights that entitle you to bring proceedings, or require proceedings to be brought, in your home jurisdiction — those rights are not waived by this clause. Nothing here removes a statutory right you cannot lawfully be made to give up.

Notes for counsel (remove before publishing)

A qualified lawyer should confirm, before public launch:

1. Two providers, one service — confirm how liability and obligations are allocated between LAMKO (Korea) and Dyotechlife (India). The "jointly and aggregate" wording in §8 caps total exposure across both entities; verify this matches the joint-controller arrangement referenced in the Privacy Notice (GDPR Art. 26). 2. Governing law / forum split (§11) — confirm the Korea-vs-India split is enforceable and insert the correct Korean court/seat. Consider whether a single governing law with a carve-out for mandatory local consumer law is cleaner. 3. Consumer status — many users are institutional/B2B researchers, but some may qualify as consumers. Confirm the consumer carve-outs are adequate for Korea, India, and the EU/UK. 4. Export controls (§3) — the prohibited-use list references CBRN and export-controlled uses; confirm it aligns with Korean, Indian, and any applicable US/EU export-control obligations for the materials sold. 5. AI-output disclaimer (§4) — confirm the "no warranty / verify independently" language is sufficient given any sector-specific safety obligations. 6. Liability floor (§8) — confirm the carve-out for death, personal injury and fraud is correctly framed under both Korean and Indian law.
